The Panamanian Civil Aviation Authority Announces New Verification Commission

The new members of the commission responsible for verifying the bid documents was announced today by the civil aviation authority. The lucky members are:  Ing. Jorge Peralta, Belitza Perez Esq.,  Arq. Ramon Augusto Zambrano, Arturo Achon (CPA), Ing. Geronimo Espitia Subia, Arq. Armando Fonseca Vasquez, Ing. Jose Antonio Tunon Melo.  This new group has 5 days with a chance to extend up to 10 working days total to submit a new ruling on which firm will build the new David Enrique Malek Airport, David City Panama  (DAV).  Look for more news on or before Friday the 7th of May, 2010.

The Department of Public Contracts Calls for a New Commision to Review the Bids For the Expansion of the David, Enrique Malek Airport

A new verification board will be formed in no more than 5 business days by the civil aviation authority.  This board will review the bids and choose the least expensive bid by a company that fulfills all of the requirements.  The new decision will come shortly.

We, Morgan & Morgan law firm in exercise, with established offices in Marbella, Calle 53 Este, Edificio PH MMG Tower, 16th Floor, Phone 265-7777, fax 265-7700, where we get personal notifications, appears in this way to the office to your worthy position, acting in the capacity of Special Agent and on behalf of the consortium CEDEÑO, CEDEÑO Y ASOCIADOS, SA-OMEGA Engineering, Inc. PBS & J CARIBBEAN LLP, contained in General the power that is attached to commence, as indeed interpose, FORMAL COMPLAINT ACTION, contrary to the Report of the Verification Commission (the "Report") par Abbreviated Tender No. 2010-1-38-0-08 -LA-003,850 for the Study, Design and Construction for Intemational Airport Expansion Enrique Malek, David (Ia "Bid") whereby it is recommended to make the award of the tender to the company RIVA PROPERTIES CORPORATION, INDUSTRIAL , COMMERCIAL, FINANCIAL AND AGRICULTURAL (hereinafter, "RIVA").
From now respectfully request that, after examining the circumstances pointed, to amend the report so that it recommend the award of the tender to our client.
Underpinning this action in the following Claim

BACKGROUND

FIRST: The Civil Aviation Authority (the "Authority") announced the tender on the basis of Law 22 of 2006, regulating the process of selecting a contractor by the State;

SECOND: The Authority set a date for the tender on Wednesday, March 24, 2009;

THIRD: The Terms of Reference of the statement of objections of the tender (as the same has been modified, added or amended, hereinafter, the "Statement") indicate that the contractors may fill all the required documents within five (5) working days following the conclusion of the Public Act, if not alter the value proposition offered;

FOURTH: In the period stipulated, both our represented as RIVA met before the Authority on the date and time specified, in order to address the mandatory requirements as it was mentioned in his remarks the Administrative Department of Purchasing and Supplier Authority comments contained in the Act of Opening Envelopes;
FIFTH: In a note addressed to the Authority on March 30, 2010, RIVA filed papers seeking to remedy the breach as provided in sections 15, 18.4 17.by Pliego;
SIX: Through the Report, the Verification Commission of Bid (the "Verification Commission) recommended that the tender is awarded to RIVA

SEVENTH: Section 17.b of Chapter II of the Statement deals with the technical expertise of the Company as a mandatory requirement. The same has been reported that the proponent must submit a certificate that has the appropriate design personnel who participated in studies and designs for an airport whose construction cost exceeds ten millions of Dollars (B/.l0, 000,000.00 .) In this sense, RIVA presented a certification issued by the company and Guard Diaz in which certifies that the Engineer Fernando Alfaro served as Project Manager in the project called "PANAMA TEMPLE OF THE CHURCH OF JESUS CHRIST OF LATTER DAY SAINTS INCLUDING ACCOMMODATION FOR USERS OF THE TEMPLE, APARTMENTS FOR MISSIONARIES AND A DISTRIBUTION CENTER, "valued at TWENTY MILLION BALBOAS (B/.20, 000,000.00);
EIGHTH: The aforementioned is the only certification by RIVA to give evidence of the suitability of staff to tell if it has been awarded the tender. However, a simple reading shows that this certification is far from meeting the requirements of Section l7.b. Chapter II of the List.

In fact, being that the aforementioned certification records the experience of Mr. Alfaro in a project involving the construction of a temple in any way we can infer that such certification can demonstrate experience as a participant in Mr. Alfaro studies and designs for an airport with a cost of over ten million BALBOAS (B/.10, 000,000.00).
Additionally, the final paragraph of section 17 of the Statement states that the certificates evidencing that point required experience must be countersigned by the project owner. For certification in comment, the project owner is the Church of Jesus Christ of Latter-day Saints and Diaz y Guardia, a company that merely served as a contractor of the project.
Therefore, RIVA has not submitted at any time of the certification process required by Chapter Il l7.b point of Pliego, why the recommendation of the verification commission that awarded the tender for RIVA, however Failure to meet that with a mandatory requirement, is arbitrary action occurred during the contractor selection process. In view of the foregoing, we respectfully request that the Report be amended to reflect the failure of RIVA and therefore recommend that the tender be awarded to our principal;
NINTH: Item 17.a Chapter II of the Statement requires the submission that the company has made "Studies, Design and Construction of an airport whose cost exceeds ten million dollars (B / 10,000,000.00). In this regard, note that RIVA has submitted a "Certification of Technical Competence," issued by "Aeropuertos Argentina 2000" (hereinafter "AA2000"). This certification is relative to the project named "New Terminal Building Aeroparque Jorge Newberry - Framework Agreement." Assuming for a moment that a "domestic airport (which the Spanish language dictionary of the Spanish Royal Academy defines as" a small airport, especially located in the urban area ") can fit within the definition of an airport at a cost exceeding
B/.10, 000,000.00, it is imperative to note that the work described concerns the construction of a "terminal" and not an "airport." The Spanish language dictionary of the Spanish Royal Academy defines this term as "field fitted with a plain set of tracks, facilities and services for aircraft to regular traffic. "So, although any airport can have a
or more terminals, the construction of a terminal, of itself, not the construction of an airport, especially in a project like the one that provides for the tender, where the construction of the runway represents a major factor in the value of work.


Should also be noted that certification attests that no RIVA has "held Studies, Design and Construction" of the aforementioned domestic airport. Indeed, this certification does not clarify in any way what was the role of RIVA within this project, so can not be considered as meeting the requirement of which is the point 17.a Chapter II of the List.

On the other hand, that certificate was issued by AA2000, but it does not identify whether AA2000 is a director of airports, the aviation authority Argentina project owner or prime contractor for the work. This being the case, it can not be estimated RIVA has complied with the final paragraph of paragraph 17 of Statement, which - as already seen - notes that the certificates evidencing that point experience required, must be countersigned by the owner project. There is no evidence to suggest that AA2000 is the owner of the project.
Finally, we should also be noted that the amount of work is set to $ 142,123.156,88 + VAT "This certification, in addition to not establish whether the real value of it is stated in Argentine pesos or U.S. dollars, a fact not meet the requirement in paragraph 17.b of Chapter II of the List. Therefore, no evidence has been presented that RIVA
certifications that meet the requirements of Section 17.a of Chapter II of the List, which is why the recommendation of the verification commission that awarded the tender for RIVA, notwithstanding a breach of this mandatory requirement, is an arbitrary action that occurred during the contractor selection process. In view of the foregoing, we respectfully request that the Report be amended to reflect the failure of RIVA and
therefore recommend that the tender be awarded to our principal;

TENTH: At another point l7.a breach of Chapter II of the List, it is noteworthy that RIVA presented a Certificate of Work of the Ministry of Progress of the Province of San Luis, Republic of Argentina, where it is certified that the company "has implemented "The work consists of a Regional Airport in the province of San Luis for a total of" $ 12.666l.000. "This certification, as well
not establish whether the real value of it is stated in Argentine pesos or U.S. dollars, a fact not meet the requirement set forth in paragraph 17.b of Chapter II of the List.


Finally, the record reflects that the certification in my dissertation was presented on April 5, 2010, ie since the deadline to remedy that had been granted by the Authority by which such certification should not even be considered, as well your date of entry to the file matches the date on which the Authority has issued the report. In response to the above reasons, we believe that the recommendation of the verification commission

In view of the foregoing, we respectfully request that the Report be amended to reflect the failure of RIVA and therefore recommend that the tender be awarded to our principal;


ELEVENTH: Item 18.4 of Chapter II of the Statement provides that the proponent must submit complete financial statements for the years 2007 and 2008 audited by an auditor firm known internationally. RIVA's financial statements for the periods before ìiiãòrí iseñãdbs audited by Hector Armando Zapatero, Certified Public Accountant and merely coteiados (unaudited) for KPMG
Argentina. Therefore, the recommendation of the verification commission that awarded the tender for RIVA, notwithstanding a breach of this mandatory requirement, is arbitrary action occurred during the contractor selection process. In view of the foregoing, we respectfully ask that the report be amended to reflect the
RIVA failure and, therefore, recommend that the tender be awarded to our principal;
TESTING: enclose the following:
1) Power of attorney granted in our favor by the consortium CEDEÑO, CEDEÑO Y ASOCIADOS, SA-OMEGA Engineering, Inc. PBS & J CARIBBEAN LLP;
2) Copies of the following simple, the originals contained in the file:
a. Verification Commission Report dated April S 2010 through which recommended the award of the Tender RIVA;
b. Work Certification dated January 19, 2004 by which the Ministry of Finance and Public Works of the Province of San Luis certify that RIVA has executed the construction of a Regional Airport;
c. Certification issued by KPMG regarding the equity and result of the balance sheet, 2007, 2008 and 2009 RIVA;
d. Certification and Watchkeeping Diaz issued dated March 24, 2010 by which certifies that the Engineer Fernando Alfaro served as Project Manager of the Panama Temple of the Church of Jesus Christ of Latter-day Saints;
e. Certification issued by Aeropuertos Argentina 2000, dated November 3, 2008, regarding RIVA and the planned construction of New Terminal Aeroparque Jorge Newberry.
3) Copies simple definitions of the terms "Aeroparque" and "airport" in the dictionary of the Spanish language of the Royal Spanish Academy.
Adduced as evidence, moreover, all the procedural parts lie in the file which contains this process.

SEÑOR DIRECTOR GENERAL DE LA DIRECCIÓN GENERAL DE CONTRATA

Nosotros, MORGAN & MORGAN, firma de abogados en ejercicio, con oficinas ubicadas en con domicilio en Marbella, Calle 53 Este, Edificio P.H. MMG Tower, Piso 16, Teléfono 265-7777, Telefax 265-7700, lugar donde recibimos notificaciones personales, comparecemos por este medio ante el despacho a su digno cargo, actuando en nuestra calidad de Apoderados Especiales y en nombre y representación del consorcio CEDEÑO, CEDEÑO Y ASOCIADOS, S.A.-OMEGA ENGINEERING, INC.-PBS & J CARIBE LLP, de generales que constan en el poder que se adjunta, a fin de interponer, como en efecto interponemos, FORMAL ACCION DE RECLAMO, en contra del Informe de la Comisión Verificadora (el “Informe”) par la Licitación Abreviada No. 2010-1-38-0-08-LA-003850 para el Estudio, Diseño y Construcción para la Ampliación del Aeropuerto Intemacional Enrique Malek, David (Ia “Licitación”), mediante el cual se recomienda que se haga la adjudicación de la Licitación a la empresa RIVA SOCIEDAD ANONIMA INMOBILIARIA, INDUSTRIAL, COMERCIAL, FINANCIERA Y AGROPECUARIA (en adelante, “RIVA”).
Desde ya solicitamos muy respetuosamente que, previo examen de las circunstancias apuntadas, se modifique el Informe a fin de que el mismo recomiende la adjudicación de la Licitación a nuestra mandante.
Sustentamos la presente Acción de Reclamo en los siguientes

FUNDAMENTOS

PRIMERO: La Autoridad de Aeronáutica Civil (la “Autoridad”) convocó la Licitación con fundamento en la Ley 22 de 2006, que regula los procesos de selección de contratista por parte del Estado;

SEGUNDO: La Autoridad fijó como fecha para la Licitación el día miércoles 24 de marzo de 2009;

TERCERO: Los Términos de Referencia del pliego de cargos de la Licitación (según el mismo haya sido modificado, adicionado o enmendando, en adelante, el “Pliego”) indican que los contratistas podrán subsanar todos los documentos exigidos dentro de los cinco (5) días hábiles siguientes a la celebración del Acto Público, siempre y cuando no se altere el valor de la propuesta ofertada;

CUARTO: Dentro del término estipulado, tanto nuestra representada como RIVA concurrieron ante la Autoridad en la hora y fecha establecidas, a fin de subsanar los requisitos de obligatorio cumplimiento tal cual lo mencionó en sus observaciones la Dirección Administrativa del Departamento de Compras y Proveeduría de la Autoridad, observaciones que constan en el Acta de Apertura de Sobres;
QUINTO: Mediante nota dirigida a la Autoridad el día 30 de marzo de 2010, RIVA presentó documentos que pretenden subsanar su incumplimiento con lo estipulado en los puntos 15, 17.b y 18.4 del Pliego;
SEXTO: A través del Informe, la Comisión Verificadora de la Licitación (la “Comisión Verificadora”), recomendó que se adjudique la Licitación a RIVA

SÉPTIMO: El punto 17.b del Capítulo ll del Pliego trata sobre la Experiencia Tecnica de la Empresa como requisito de obligatorio cumplimiento. En el mismo se menciona que el proponente debera presentar una certificación de que cuenta con el personal de diseño idóneo que haya participado en los estudios y diseños para un aeropuerto cuyo costo de construcción sea superior a DIEZ MILLONES DE BALBOAS (B/.l0,000,000.00). En este sentido, RIVA presentó una certificación emitida por la empresa Díaz y Guardia en la cual certifican que el Ingeniero Femando Alfaro se desempeñó como Gerente de Proyectos en el proyecto denominado “TEMPLO DE PANAMÁ DE LA IGLESIA DE JESUCRISTO DE LOS SANTOS DE LOS ÚLTIMOS DÍAS, INCLUYENDO HOSPEDAJE PARA LOS USUARIOS DEL TEMPLO, APARTAMENTOS PARA MISIONEROS Y UN CENTRO DE DISTRIBUCIÓN,” valorado en VEINTE MILLONES DE BALBOAS (B/.20,000,000.00);
OCTAVO: La precitada certificación es la única presentada por RIVA para dar constancia de la idoneidad del personal con que contaría en caso de que se le adjudique la Licitación. Sin embargo, de una simple lectura se desprende que dicha certificación dista mucho de satisfacer los requisitos del punto l7.b. del Capítulo II del Pliego.

En efecto, siendo que la precitada certificación deja constancia de la experiencia del Ing. Alfaro en un proyecto consistente en la construcción de un templo, de manera alguna se puede colegir que dicha certificación puede acreditar la experiencia del Ing. Alfaro como participante en los estudios y diseños para un aeropuerto con un costo superior a los DIEZ MILLONES DE BALBOAS (B/.10,000,000.00).
Adicionalmente, el párrafo final del punto 17 del Pliego señala que las certificaciones que acrediten la experiencia que dicho punto requiere, deben ser refrendadas por el dueño del proyecto. En el caso de la certificación in comento, el dueño del proyecto es la Iglesia de Jesucristo de los Santos de los Últimos Días y no Díaz y Guardia, empresa que meramente se desempeñó como contratista de dicho proyecto.
Por consiguiente, RIVA no ha presentado en ningún momento del proceso la certificación exigida por el punto l7.b del Capítulo Il del Pliego, razón por la cual la recomendación de la Comisión Verificadora de que se adjudique la Licitación a favor de RIVA, no obstante el incumplimiento de esta con un requisito de obligatorio cumplimiento, constituye una actuación arbitraria ocurrida durante el proceso de selección de contratista. En atención a lo anterior, respetuosamente solicitamos que el Informe sea modificado para reflejar el incumplimiento de RIVA y, por consiguiente, se recomiende que la Licitación sea adjudicada a nuestra mandante;
NOVENO: El punto 17.a del Capítulo II del Pliego exige la presentación de que la empresa ha realizado “Estudios, Diseños y Construcción de un Aeropuerto, cuyo costo sea superior a diez millones de balboas (B/ 10,000,000.00). En este sentido, cabe destacar que RIVA ha presentado una “Certificación de Competencia Técnica,” emitida por “Aeropuertos Argentina 2000” (en adelante, “AA2000”). Dicha certificación es relativa al proyecto denominado “Construcción Nueva Terminal Aeroparque Jorge Newberry - Contrato Marco.” Asumiendo por un momento que un “aeroparque” (el cual el diccionario de la lengua española de la Real Academia Española define como un “pequeño aeropuerto, especialmente el situado en área urbana”) puede caber dentro de la definición de un aeropuerto con un costo superior a
B/.10,000,000.00, resulta ineludible destacar que la obra que se describe se refiere a la construcción de una “terminal” y no de un “aeropuerto.” El diccionario de la lengua española de la Real Academia Española define este último término como “terreno llano provisto de un conjunto de pistas, instalaciones y servicios destinados al tráfico regular de aviones.” Así las cosas, si bien todo aeropuerto puede tener una
o más terminales, la construcción de una tenninal, de por sí sola, no constituye la construcción de un 
aeropuerto, máxime en un proyecto como el que contempla la Licitación, en donde la construccion de la pista representa un factor preponderante dentro del valor de la obra.


Adicionalmente, cabe señalar que la certificación no da fe de que RIVA haya “realizado Estudios, Diseños y Construcción” del precitado aeroparque. En efecto, dicha certificación no aclara de manera alguna cuál fue el papel de RIVA dentro de dicho proyecto, por lo que no puede considerarse como que cumple con el requisito del que trata el punto 17.a del Capítulo II del Pliego.

Por otro lado, dicha certificación fue emitida por AA2000, pero la misma no identifica si AA2000 es un administrador de aeropuertos, la autoridad aeronáutica argentina dueña del proyecto, o el contratista principal de la obra. Siendo así las cosas, tampoco se puede estima que RIVA ha cumplido con el párrafo final del punto 17 del Pliego, el cual - como ya vimos - señala que las certificaciones que acrediten la experiencia que dicho punto requiere, deben ser refrendadas por el dueño del proyecto. No hay constancia que indique que AA2000 es el dueño de dicho proyecto.
Finalmente, debemos también señalar que el monto de la obra se establece como $142,123.156,88 + I.V.A.” Dicha certificación, amén de no establecer si el valor real de la misma se estipula en pesos argentinos o dólares americanos, no cumple a ciencia cierta con el requisito establecido en el punto 17.b del Capitulo II del Pliego. Por consiguiente, no consta prueba alguna de que RIVA haya presentado
certificaciones que satisfagan los requisitos del punto 17.a del Capítulo II del Pliego, razón por la cual la recomendación de la Comisión Verificadora de que se adjudique la Licitación a favor de RIVA, no obstante el incumplimiento de esta con un requisito de obligatorio cumplimiento, constituye una actuación arbitraria ocurrida durante el proceso de selección de contratista. En atención a lo anterior, respetuosamente solicitamos que el Informe sea modificado para reflejar el incumplimiento de RIVA y,
por consiguiente, se recomiende que la Licitación sea adjudicada a nuestra mandante;

DÉCIMO: En otro incumplimiento al punto l7.a del Capítulo II del Pliego, cabe destacar que RIVA presentó una Certificación de Obra del Ministerio de Progreso de la Provincia de San Luis, República de Argentina, en donde se certifica que dicha empresa “ha ejecutado” la obra consistente en un Aeropuerto Regional de la Provincia de San Luis por un monto total de “$12.666l.000.” Dicha certificación, amén
de no establecer si el valor real de la misma se estipula en pesos argentinos o dólares americanos, no cumple a ciencia cierta con el requisito establecido en el punto 17.b del Capítulo II del Pliego.


Finalmente, del expediente se desprende que la certificación in comento fue presentada el 5 de abril de 2010; es decir, ya cumplido el plazo para subsanar que había sido otorgado por la Autoridad, por lo cual dicha certificación no debería ni siquiera ser considerada, amén de que su fecha de ingreso al expediente coincide con la fecha en la que la Autoridad emitió el Informe. En atención a los motivos expuestos, estimamos que la recomendación de la Comisión Verificadora de
que se adjudique la Licitación a favor de RIVA, no obstante el incumplimiento de esta con un requisito de obligatorio cumplimiento, constituye una actuación arbitraria ocurrida durante el proceso de selección de contratista. En atención a lo anterior, respetuosamente solicitamos que el Informe sea modificado para reflejar el incumplimiento de RIVA y, por consiguiente, se recomiende que la Licitación sea adjudicada a nuestra mandante;

UNDÉCIMO: El punto 18.4 del Capítulo II del Pliego establece que el proponente debera presentar los estados financieros completos para los años 2007 y 2008 auditados por una firma auditor conocida internacionalmente. Los estados financieros de RIVA para los períodos antes iseñãdbs ìiiãòrí auditados por Héctor Armando Zapatero, Contador Público y meramente coteiados  (no auditados) por KPMG de
Argentina. Por consiguiente, la recomendación de la Comisión Verificadora de que se adjudique la Licitación a favor de RIVA, no obstante el incumplimiento de esta con un requisito de obligatorio cumplimiento, constituye una actuación arbitraria ocurrida durante el proceso de selección de contratista. En atención a lo anterior, respetuosamente solicitamos que el Informe sea modificado para reflejar el
incumplimiento de RIVA y, por consiguiente, se recomiende que la Licitación sea adjudicada a nuestra mandante;
PRUEBAS:          Adjuntamos las siguientes:
1) Poder otorgado a nuestro favor por el consorcio CEDEÑO, CEDEÑO Y ASOCIADOS, S.A.- OMEGA ENGINEERING, INC.-PBS & J CARIBE LLP;
2) Copias simples de los siguientes documentos, cuyos originales constan en el expediente:
        a. Informe de la Comisión Verificadora con fecha S de abril de 2010 mediante el         cual se recomendó la adjudicación de la Licitación a RIVA;
        b. Certificación de Obra con fecha 19 de enero de 2004 mediante la cual el Ministerio de Hacienda y Obras Públicas de la Provincia de San Luis certifica que RIVA ha ejecutado la construcción de un Aeropuerto Regional;
        c. Certificación emitida por KPMG respecto al patrimonio neto y resultado de los balances contables de 2007, 2008 y 2009 de RIVA;
        d. Certificación emitida por Díaz y Guardia con fecha 24 de marzo de 2010 mediante la cual certifican que el Ingeniero Femando Alfaro desempeño el cargo como Gerente de Proyectos del Templo de Panamá de la Iglesia de Jesucristo de los Santos de los Últimos Días;
        e. Certificación emitida por Aeropuertos Argentina 2000, con fecha 3 de     noviembre de 2008, referente a RIVA y al proyecto de construcción de la Nueva Terminal Aeroparque Jorge Newberry.
3) Copias simples de las definiciones de los términos “aeroparque” y “aeropuerto,” contenidas en el diccionario de la lengua española de la Real Academia Española.
Aducimos como pruebas, además, todas las piezas procesales que reposan en el expediente contentivo del presente proceso.
FUNDAMENTO DE DERECHO: Artículo ll 1 y demás concordantes de la Ley 22 de 2006; Artículo  193 y demás concordantes del Decreto Ejecutivo No. 366 de 28 de diciembre de 2006.

"STUDY, DESIGN AND CONSTRUCTION FOR THE EXTENSION OF
Enrique Malek International Airport ",
 based on the
Special Conditions Chapter Il, Numeral 9, paragraph 9.5 of the SO.


OUR COMMENTS TO PRESENT REPORT OF THE COMMISSION
Check the following terms:


FIRST: In Chapter II Special Conditions, Numeral 10 Factors Objectives
Selection, paragraph 10.2 - required mandatory requirements:
"Are to be enclosed with the nomination form so
mandatory in order for it to be taken into consideration and
properly analyzed by the Verification Commission. "In paragraph 9. Copy
notarized the writ of the readable proponent, clarified "If someone
foreign passport must submit a copy of a Notary Public. "
(Emphasis added.) In the case of the bid submitted by the proposer
RIVA CONSTRUCTION SAllCFA this requirement was not met since it
submitted a copy of the passport of Mr German Felix Gaston (VER oja 1350), without being
authenticated by a notary, as manifested by the statement of objections is
binding.

SECOND: Special Conditions Chapter Il, Numeral 10 Factors Objectives
Selection, paragraph 10.2 - required mandatory requirements:
"Are to be enclosed with the nomination form so
mandatory. in order for it to be taken into consideration and
properly analyzed by the Verification Commission. "In its article 15.
"Curriculum Vitae of the professional who will act as the Resident
work which must comply with the provisions of Section 15.2 Resident of this
chapter. [FORM NO.2). It must attach copies of certificate
adequacy and the card. "(emphasis added).
In the case of the bid submitted by the company RIVA CONSTRUCTION
SAIICFA this requirement was not met for the following reasons:

1. RIVA CONSTRUCTION SAIICFA The company presented the resume of
Luis Eduardo engineer Faiella (van record 1327), but did not file the certificate
suitability or the Engineer's license, those documents were requested for
relief in the opening minutes of the draft reference March 24
2010. RIVA CONSTRUCTION SAIICFA The company responds to the request
30th March, but does not have the card or the certificate of fitness
Luis Eduardo Faiella engineer.

2. A change requested in the previous section, the company RIVA CONSTRUCTION
Engineer presented information SAIICFA Fernando Alfaro de Alba, which is not
was submitted by the company in the original bid submitted on March 24
2010, forgetting as indicated in paragraph 7 - REMOVAL, REPLACEMENT,
MODIFICATION AND CLARIFICATION OF REQUEST FOR PROPOSAL, Chapter I
GENERAL CONDITIONS, in the specification that states textually:
"No proposal may be withdrawn, replaced or modified after
of celebrated public event. However, before its conclusion, the
Proposers may withdraw the proposals, replacement or modification, when
deemed necessary. The bidder may request clarification entity after
submitted the proposal and also request that documentation accompanying
clarification, provided that this is not intended to distort the price or
OBJECT offered nor alter the original proposal. "(emphasis added).
The information presented amending the offer and the original proposal
RIVA CONSTRUCTION SAlICFA in substantial form, presenting information
but not new or additional clarification, but does not remedy the condition required
in its minutes of 24 - March 2010.

3. On the other hand, to create more ambiguity and confusion in the bid submitted
the construction company RIVA SAllCFA, on March 24 show
documentation lose engineer Ernesto Sosa Vásquez (SEE record 1313) as
Deputy Superintendent of work, a position not requested by the statement of objections
project "Study, Design and Construction for Airport Expansion
Enrique Malek International. "Addition to the above, no copy is presented
of any certification of projects by engineer José Ernesto Sosa.
It is important to note also that the engineer Sosa received his certificate
approval on March 28, 2000 which failed to complete the ten 110]

the statement of objections of the benchmark project. Chapter Il - Conditions
Special numeral 15.2, reads "The Contractor shall keep on site,
permanently during the execution of work, a Civil Engineer
professional qualifications and with no less than ten years experience in the profession and
which carried out construction projects worth more than ten
million Balboas (B / _ 10,000,000.00), as residents of the Work, who will
have full authority to act in all cases, the name of
Contractor and immediately address the comments and instructions

In conclusion, the proponent RIVA CONSTRUCTION SAlICFA not meet the
requirement included in the Statement of Objections to submit an engineer suitable for
by Superintend / Resident ten (10) years of experience and a work of
construction of at least B / _ 10 million Dollars, duly certified,
as we have noted, since at the time of submission of bid
the company is, on March 24, 2010, the engineer was not Sosa
ten (10) years of experience, since it obtained its certificate of fitness on the 28th
March 2000.

Third: Chapter II - Special Conditions, Numeral 10 Factors Objectives
Selection, paragraph 17 - Technical Experience Company, as part b,
requires: "Certification of staff has designed so that there
participated in the studies and designs for an airport whose cost exceeds
ten million dollars (B /. 10,000,000.00). The certification must be
accompanied by the curriculum vitae of the professional and in case it does not
is employed by the company, shall submit the letter of intent
contract itself. Should the project be awarded to the company, the
it must employ the professional above "(emphasis added).
The manufacturer submits to the Architect RIVA Rodolfo SAIlCFA
josé Miani as Project Manager in case of award of the contract
reference to the company proposing. In addition to the above, according to that
paragraph of the statement of objections, it must clearly demonstrate that the business
participated in the studies and designs of an airport whose cost exceeds
ten million dollars (B /. 10,000,000.00). The certificates presented
RIVA CONSTRUCTION SAIICFA for not clarifying that the architect Rodolfo
Miami had worked in the Survey and Design of an airport with these
conditions. In addition to this, the company SAIICFA RIVA CONSTRUCTION
must be presented according to the same heading "17 - Technical Experience
Company "on their part b, the letter of intent to hire the architect Rodolfo
Miani lose as a designer, if its bid to be elected as the winner, this
commitment letter was not submitted, the company failing again
RIVA CONSTRUCTION SAIICFA with the statement of objections, a fact overlooked by
Verification Commission.

Therefore, we hold that the Verification Commission has assessed the
RIVA CONSTRUCTION bidder without considering the clear SAIICFA
violations of this proposal to the Statement of Charges, the Procurement Act
Public and its amendments in the Tender Brief NQ 2010-1-38-0-08-LA-
003,850, "Study, Design and Construction for Airport Expansion
Enrique Malek International. "

SPECIAL REQUEST: For all the above, ask the gentlemen
members of the Verification Commission NQ Abbreviated Tender 2010-1-38-O-
08-LA-00385O, "Study, Design and Construction for Airport Expansion
Enrique Malek International "to kindly address the comments submitted by
CONSTRUCTION MECO, SA and serves companies qualify again

SENORES MIEMBROS DE LA COMISION VERIFICADORA:

Por este medio yo, ROBERTO HERNÁNDEZ MEDINA, varón, panameño, mayor de
edad, casado, con cédula de identidad personal No. 8-459-961 , con domicilio en
Corregimiento de Ancón, Edificio No. 780, Calle Tabernilla, Distrito y Provincia de
Panamá, actuando en nombre y representación de CONSTRUCTORA MECO, S.A.,
sociedad extranjera debidamente inscrita en el Registro Público de Panamá, a la
Ficha 667, Rollo 44947, Imagen 167, Sección de Sociedades Extranjeras, acudimos
ante Ustedes, con nuestro acostumbrado respeto, con la finalidad de presentar
OBSERVACIONES AL INFORME DE LA COMISIÓN VERIFICADORA DEL DÍA 05
DE ABRIL DE 2010 - LICITACIÓN ABREVIADA NQ 2010-1-38-0-08-LA-003850,
"ESTUDIO, DISEÑO Y CONSTRUCCIÓN PARA LA AMPLIACIÓN DEL
AEROPUERTO INTERNACIONAL ENRIQUE MALEK”,
 con fundamento en el
Capítulo Il Condiciones Especiales, Numeral 9, Acápite 9.5 del pliego de cargos.

PRESENTAMOS NUESTRAS OBSERVACIONES AL INFORME DE LA COMISIÓN
VERIFICADORA EN LOS SIGUIENTES TÉRMINOS:

PRIMERO: En el capítulo II Condiciones Especiales, Numeral 10 Factores Objetivos
De Selección, Acápite 10.2 - Requisitos exigidos de obligatorio cumplimiento:
"son los que deberán adjuntarse con el formulario de propuesta de manera
obligatoria, para que la misma pueda ser tomada en consideración y
debidamente analizada por la Comisión Verificadora.” En su numeral 9. Copia
notariada de la cédula del proponente legible, se aclara “De ser persona
extranjera deberá presentar copia del Pasaporte autenticada por Notario Público."
(Subrayado nuestro). En el caso de la oferta presentada por el proponente
CONSTRUCTORA RIVA S.A.l.l.C.F.A se incumplió con este requisito puesto que se
presentó copia de pasaporte del señor Aleman Gaston Felix (VER oja 1350), sin ser
autenticada por Notario, tal y como lo manifiesta el pliego de cargos que es de
obligatorio cumplimiento.

SEGUNDO: En el capítulo Il Condiciones Especiales, Numeral 10 Factores Objetivos
De Selección, Acápite 10.2 - Requisitos exigidos de obligatorio cumplimiento:
“son los que deberán adjuntarse con el formulario de propuesta de manera
obligatoria. para que la misma pueda ser tomada en consideración y
debidamente analizada por la Comisión Verificadora.” En su numeral 15.
"Currículum Vitae del profesional que ejercerá las funciones de Residente de la
obra el cual debe cumplir con lo establecido en el punto 15.2 Residente, de este
capítulo. [FORMULARIO NO.2). Se deberán adjuntar copias del certificado de
idoneidad y del carné." (SUBRAYADO NUESTRO).
En el caso de la oferta presentada por la empresa CONSTRUCTORA RIVA
S.A.I.I.C.F.A se incumplió con este requisito por las siguientes razones:

1. La empresa CONSTRUCTORA RIVA S.A.I.I.C.F.A presentó la hoja de vida del
ingeniero Luis Eduardo Faiella (van foja 1327), pero no presentó el certificado de
idoneidad ni el carné de dicho Ingeniero, dichos documentos fueron solicitados para
subsanación en el acta de apertura del proyecto de referencia del día 24 de marzo
de 2010. La empresa CONSTRUCTORA RIVA S.A.I.I.C.F.A, responde a lo solicitado
el día 30 de marzo, pero no presenta el carnet ni el certificado de idoneidad del
ingeniero Luis Eduardo Faiella.

2. A cambio de lo solicitado en el punto anterior, la empresa CONSTRUCTORA RIVA
S.A.I.I.C.F.A presentó información del ingeniero Fernando Alfaro de Alba, el cual no
fue sometido por la empresa en la oferta original presentada el día 24 de Marzo de
2010, olvidando lo indicado en el Numeral 7 - RETIRO, SUSTITUCION,
MODIFICACION Y SOLICITUD DE ACLARACIÓN DE PROPUESTA, Capitulo I
CONDICIONES GENERALES, del Pliego de Condiciones que indica textualmente que:
“Las propuestas no podrán ser retiradas, sustituidas ni modificadas después
de celebrado el acto público. Sin embargo, antes de su celebración, los
proponentes podrán retirar las propuestas, sustituirlas o modificarlas, cuando lo
consideren necesario. La entidad licitante podrá solicitar aclaraciones luego de
presentada la propuesta y, además, solicitar que se acompañe documentación
aclaratoria, siempre que esta no tenga por objeto distorsionar el precio u
obieto ofertado ni tampoco modificar la propuesta original." (SUBRAYADO NUESTRO).
La información presentada modifica la oferta y la propuesta original de
CONSTRUCTORA RIVA S.A.l.I.C.F.A en forma substancial, presentando información
nueva más no complementaria ni aclaratoria, pero No Subsana el requisito exigido
en su acta del día 24- de marzo de 2010.

3. Por otro lado, para generar más ambigüedad y confusión en la oferta presentada
por la Empresa CONSTRUCTORA RIVA S.A.l.l.C.F.A, el día 24 de Marzo se presenta
la documentación del ingeniero Ernesto losé Sosa Vásquez (VER foja 1313) como
Superintendente de obra Adjunto, cargo no solicitado por el pliego de cargos del
proyecto "Estudio, Diseño y Construcción para la Ampliación del Aeropuerto
Internacional Enrique Malek". Sumado a lo anterior, tampoco se presenta copia
de ninguna certificación de proyectos realizados por el ingeniero Ernesto José Sosa.
Es importante resaltar también que el ingeniero Sosa obtuvo su certificado de
idoneidad el 28 de Marzo de 2000, por lo cual No alcanza a completar los diez 110]
anyos de experiencia en el momento de presentación dela oferta, requisito exigido en
el pliego de cargos del proyecto de referencia. El Capítulo Il - Condiciones
Especiales, numeral 15.2, dice lo siguiente "El Contratista mantendrá en la obra,
permanentemente durante la ejecución de los trabajos, un Ingeniero Civil con
idoneidad profesional y con no menos de diez años de experiencia en la profesión, y
que haya realizado proyectos de construcción con un valor superior a los diez
millones de Balboas (B/_ 10,000,000.00), como Residente de la Obra, quien estará
investido de plena autoridad para actuar, en todos los casos, a nombre del
Contratista y atender inmediatamente las observaciones e instrucciones de la
Inspección". (SUBRAYADO NUESTRO).
En conclusión, el proponente CONSTRUCTORA RIVA S.A.l.I.C.F.A no cumple con el
requisito exigido en el Pliego de Cargos de presentar un ingeniero idóneo para el
cargo de Superintende / Residente con diez (10) años de experiencia y una obra de
construcción de por lo menos B/_ 10 millones de balboas, debidamente certificada,
tal y como hemos señalado, dado que al momento de la presentación de la oferta por
parte de la empresa es decir, el día 24 de marzo de 2010, el ingeniero Sosa no tenía
diez (10) años de experiencia, dado que obtuvo su certificado de idoneidad el día 28
de Marzo de 2000.

TERCERO: En el capítulo II - Condiciones Especiales, Numeral 10 Factores Objetivos
De Selección, Acápite 17 - Experiencia Técnica de la Empresa, en su parte b, se
exige: "Certificación de que cuenta con el personal de diseño idóneo que haya
participado en los estudios y diseños para un Aeropuerto, cuyo costo sea superior a
diez millones de balboas (B/. 10,000,000.00). La certificación deberá ser
acompañada por el currículum vitae del profesional y en caso que el mismo no
esté contratado por la empresa, deberá presentar la carta de intención de
contrato del mismo. En caso de ser adjudicado el proyecto a dicha empresa, la
misma deberá contratar al profesional antes mencionado" (SUBRAYADO NUESTRO).
La empresa CONSTRUCTORA RIVA S.A.I.l.C.F.A presenta al Arquitecto Rodolfo
josé Miani como GERENTE DE PROYECTO en caso de ser adjudicado el contrato de
referencia a la empresa proponente. Adicional a lo anterior, según este mismo
numeral del pliego de cargos, se debe demostrar claramente que el profesional haya
participado en los estudios y diseños de un aeropuerto cuyo costo sea superior a
diez millones de balboas (B/. 10,000,000.00). En las certificaciones presentadas
por CONSTRUCTORA RIVA S.A.I.I.C.F.A no se aclara que el Arquitecto Rodolfo
Miami hubiese trabajado en el Estudio y Diseño de un aeropuerto con estas
condiciones. Sumado a lo anterior, la empresa CONSTRUCTORA RIVA S.A.I.I.C.F.A
debió presentar de acuerdo al mismo Acápite "17 - Experiencia Técnica de la
Empresa" en su parte b, la Carta De intención de contratar al Arquitecto Rodolfo
lose Miani como diseñador, en caso de ser elegida su oferta como ganadora, esta
carta de compromiso no se presentó, incumpliendo nuevamente la empresa
CONSTRUCTORA RIVA S.A.I.I.C.F.A con el pliego de cargos, hecho obviado por la
Comisión Verificadora.

Por lo anterior, sostenemos que la Comisión Verificadora ha evaluado al
proponente CONSTRUCTORA RIVA S.A.I.I.C.F.A sin considerar las claras
violaciones de dicha propuesta al Pliego de Cargos, la Ley de Contrataciones
Públicas y sus modificaciones, de la Licitación Abreviada NQ 2010-1-38-0-08-LA-
003850, "Estudio, Diseño y Construcción para la Ampliación del Aeropuerto
Internacional Enrique Malek".

SOLICITUD ESPECIAL: Por todo lo antes expuesto, solicitamos a los señores
miembros de la Comisión Verificadora de la Licitación Abreviada NQ 2010-1-38-O-
08-LA-00385O, "Estudio, Diseño y Construcción para la Ampliación del Aeropuerto
Internacional Enrique Malek", se sirva atender las observaciones presentadas por
CONSTRUCTORA MECO, S.A. y se sirva calificar nuevamente a las empresas
oferentes. Por todo lo anteriormente expuestos, con el debido respeto que nos caracteriza y
que la comisión Verificadora merece solicitamos sea reconsiderado el informe de la
comisión verificadora emitido el día 05 de abril de 2010 y se proceda a evaluar
nuevamente a las empresas oferentes.
